For your information, a brief summary of these programs is attached. Additional information will be found in the Summary Plan Descriptions. This summary is intended only to provide a brief synopsis of Company benefit plans available to most employees. As GSE Lining Technology, Inc. continues to grow, the need may arise to revise, supplement, or rescind these plans as appropriate. Should any conflict occur between what is contained in this memorandum and what is stated in the Plan Documents, the Plan Documents shall govern.

MEDICAL INSURANCE

Summary:
GSE offers employee's a Preferred Provided Organization (PPO) medical plan, with the majority of the premium paid by the Company. Employee's are not required to meet a deductible as long as they stay within their PPO Network of physicians. Doctor's office visits, lab and x-rays are payable at 100% after a small co-pay. Most other services provided by hospitals and doctors are payable at 80%. Dental insurance is included, and requires small employee contributions based on each service or procedure. The plan pays the remaining costs up to the plan maximum.

Along with the medical plan, GSE provides a Prescription Drug Plan with insignificant co-pays for Generic, Name Brand, and Mail Order drugs.

The Company also offers each employee participating in the medical plan and all eligible dependents a fixed dollar amount each calendar year for Preventive Care.

FLEXIBLE BENEFITS

Summary:
The GSE Flexible Benefits programs gives you the opportunity to participate in three (3) benefit programs that can help you manage certain eligible health care and dependent day care expenses more effectively. By completing an appropriate enrollment form, you can have GSE direct a portion of your salary into a Health Care Reimbursement Account and/or a Dependent Day Care Reimbursement Account on a pre-tax basis.

In addition to these two accounts, GSE deducts your medical and dental contributions on a pre-tax basis, which lowers your taxable income and provides you with additional savings.

LIFE INSURANCE

Summary:
The Company provides to all eligible employees a life insurance policy equal to two (2) times their annual earnings, up to the plan maximum. Fully Paid by GSE.

DEPENDENT LIFE INSURANCE

Summary:
Employee's spouse and dependent children over 6 months are offered a life insurance policy with a cash death benefit. Fully Paid by GSE.

ACCIDENTAL DEATH and DISMEMBERMENT

Summary:
The Company provides a benefit for loss of life, sight or limb resulting from an accident of up to two (2) times your base annual salary, up to the plan maximum. Fully Paid by GSE.

LONG-TERM DISABILITY

Summary:
Following a period of ninety (90) consecutive days of total disability, the plan provides a benefit of up to 60% of employee's base monthly salary up to the maximum monthly benefit. Fully paid by GSE.

VOLUNTARY ACCIDENTAL DEATH and DISMEMBERMENT

Summary:
Provides an additional accidental death and dismemberment benefit for loss of life, sight or limb resulting from an accident. Employee's may select single or family coverage, with election not exceeding 8 times their annual base salary, subject to a plan maximum. Cost varies depending upon your selection.

OPTIONAL LIFE PLAN

Summary:
Provides additional term life coverage. Employees may select additional life coverage for themselves as well as family members. Cost varies on age and volume of coverage selected.

401 (k) PLAN

Summary:
GSE's 401 (k) plan provides a big advantage over other savings methods because the money earned is untouched by federal taxes until retirement. It reduces employee's current income tax, so their money can accumulate faster than with a regular, taxable savings plan. It has a number of other benefits like:

Employee Contributions

Pre-Tax Eligible employees of GSE may make a contribution of pre-tax earnings subject to annual dollar limits set by the IRS. After-Tax Eligible employees may make a contribution of after-tax earnings, subject to plan restrictions.

Company Matching Contributions GSE will make competitive matching contributions to employees' accounts.

VACATION & HOLIDAYS

Summary:
GSE offers competitive earned vacation, which may be used after January 1 each year. Increases in vacation earned occur at 5 and 15 years of service. We provide 10 paid holidays, including a "floater" to make a longer weekend out of a pre-selected holiday.

OTHER TIME OFF

Summary:
GSE provides other methods for time off. These include 5 sick days per year, bereavement leave for death in the immediate family, and unpaid leaves of absence for approved purposes after a required length of service.

EDUCATIONAL ASSISTANCE

Summary:
GSE offers reimbursement for a percentage of all costs associated with college classes or approved degree plans that increase the knowledge you need for a current or potential assignment.
